INVOICE FINANCING AGREEMENT<\/strong>

1. DEFINITIONS<\/strong><\/h3>\n\n\n\n
    \n
  • “Invoice”<\/strong>: A valid, undisputed invoice issued by the Client to its customer for goods\/services delivered.<\/li>\n\n\n\n
  • “Financed Amount”<\/strong>: The portion of the Invoice value advanced by the Investor (minimum USD 1,000 maximum USD 150,000.<\/li>\n\n\n\n
  • “Fee”<\/strong>: 2% per month of the Financed Amount, calculated daily. Linear not compounded. This means 2% \/ 30 days = 0.066666% per day. <\/li>\n\n\n\n
  • “Due Date”<\/strong>: The payment deadline specified on the Invoice (e.g., Net 30, Net 60).<\/li>\n<\/ul>\n\n\n\n

    2. TERMS OF FINANCING<\/strong><\/h3>\n\n\n\n
      \n
    1. Advance Payment<\/strong>:\n
        \n
      • The Investor(s) agree to advance 100%<\/strong> of the Invoice value (at the Client\u2019s election) within 1 business day<\/strong> of Invoice verification.<\/li>\n\n\n\n
      • Minimum Financed Amount: Minimum USD 1000 and max currently is USD 150,000. One or more investors can contribute towards the investment.<\/li>\n<\/ul>\n<\/li>\n\n\n\n
      • Fee Structure<\/strong>:\n
          \n
        • The Client shall pay the Investor a daily fee of 0.066666% per day of the Financed Amount. Fees accrue daily from the date of funding until the Invoice is paid in full.<\/li>\n\n\n\n
        • Example: For a $10000 Invoice which is fully financed the interest shall be $6.66666 per day.<\/li>\n<\/ul>\n<\/li>\n\n\n\n
        • Repayment<\/strong>:\n
            \n
          • The Investor will get the payment from the client within 3 business days of the invoiced customer making and clearing a payment to the client.<\/li>\n\n\n\n
          • Upon full payment of the Invoice, the client shall remit the remaining amount and owed interest to the investor. <\/li>\n<\/ul>\n<\/li>\n<\/ol>\n\n\n\n
            \n\n\n\n

            3. OBLIGATIONS<\/strong><\/h3>\n\n\n\n

            Client Responsibilities<\/strong>:<\/p>\n\n\n\n

            • Ensure the Invoice is valid, enforceable, and free of disputes.<\/li>\n\n\n\n
            • Notify the customer to pay the Investor directly.<\/li>\n\n\n\n
            • Provide supporting documents (e.g., contracts, delivery proofs) upon request.<\/li>\n<\/ul>\n\n\n\n

              Investor Responsibilities<\/strong>:<\/p>\n\n\n\n

              • Verify the Invoice and disburse funds promptly.<\/li>\n\n\n\n
              • Provide a written statement of Fees and repayment details.<\/li>\n<\/ul>\n\n\n\n
                \n\n\n\n

                4. DEFAULT AND REMEDIES<\/strong><\/h3>\n\n\n\n
                  \n
                • Late Payment<\/strong>: If the customer fails to pay by the Due Date, the Client must repurchase the Invoice at 100% of the Financed Amount + accrued Fees<\/strong> within 5 business days<\/strong>.<\/li>\n\n\n\n
                • Disputed Invoice<\/strong>: The Client resolves disputes at its own cost. Fees continue to accrue during resolution.<\/li>\n<\/ul>\n\n\n\n
                  \n\n\n\n

                  5. GOVERNING LAW & DISPUTES<\/strong><\/h3>\n\n\n\n

                  • This Agreement is governed by the laws of the State of [State]<\/strong>.<\/li>\n\n\n\n

                    7. TERMINATION<\/strong><\/h3>\n\n\n\n

                    Either party may terminate this Agreement with 30 days\u2019 written notice<\/strong>. Existing obligations (e.g., Fees, repayments) survive termination.<\/p>\n\n\n\n

                    8. ENTIRE AGREEMENT<\/strong><\/h3>\n\n\n\n

                    This document supersedes all prior agreements. Amendments require written consent from both parties.<\/p>\n\n\n\n
